General Terms and Conditions

This English version is provided for convenience. The German version is legally binding.

Scope

These general terms and conditions apply to all services provided by inscribe GmbH, Buggenacher 15, 6043 Adligenswil (hereinafter "inscribe") to its customers (hereinafter "customer"). Deviating agreements must be made in writing and take precedence over these terms.

Services

inscribe provides three main services:

  • Automation (managed service): building and running AI automation workflows for recurring office work.
  • AI training: in-house workshops, online cohorts, 1:1 coaching.
  • Custom builds: custom workflows and internal tools, available only after an AI audit or within an existing engagement.

The exact scope of services is set out in a separate document for each engagement.

Conclusion of contract

The contract is formed upon order confirmation in writing or by e-mail. Offers are non-binding until both sides have confirmed. inscribe reserves the right to decline engagements without giving reasons.

Prices and payment terms

Automation: 25 percent of the monthly time savings agreed in advance. The time anchor (hours and hourly value) is defined in the intro call and confirmed in writing. No setup fee.

AI training: flat rate per format. Terms are defined in the intro call and confirmed in writing.

Custom builds: sprint-based. Scope and price are fixed in writing before the sprint starts. Access only via an AI audit or an existing engagement.

All prices are exclusive of any applicable VAT. Payment is due within 14 days net. Late payment incurs default interest under the Swiss Code of Obligations.

Term and termination

Automation engagements: cancellable monthly from day one. Notice by e-mail is sufficient. No minimum term. No reasons required. The fee for the current month remains due in full, after which all obligations on both sides end.

Training sessions and sprints: project-based, no recurring termination. For scheduled dates, the cancellation terms of the specific engagement apply.

Customer's duty to cooperate

The customer provides the information, access and contact persons needed for the delivery of the services within a reasonable time. Delays caused by a lack of cooperation extend deadlines and entitle inscribe to adjust the schedule accordingly.

Data protection and data processing

A data processing agreement (DPA) is concluded for every engagement. Details on data processing and the processors involved can be found in the privacy policy and in the engagement-specific DPA.

Human in the loop

inscribe builds approval stages into all automations. External communication (e-mail, quotes, letters) is always prepared as a draft and requires approval by the customer or a person named by the customer. inscribe is not liable for content approved by the customer.

Warranty and liability

inscribe performs its services with due professional care. In the event of defects, inscribe will remedy them within a reasonable time. No guarantee is given for a specific economic outcome or for error-free AI model outputs.

To the extent permitted by law, inscribe's liability is limited to the amount of the engagement fees paid in the last twelve months. No liability is accepted for slight negligence, consequential damages, lost profit or data loss, to the extent this limitation is permitted by law.

Copyright and usage rights

Data and content provided by the customer remain the customer's property. Workflows, prompts and configurations created during the engagement are made available to the customer for internal use. Passing them on to third parties or reselling them requires inscribe's written consent.

Confidentiality

Both sides treat all non-public information exchanged during the collaboration as confidential. This obligation continues beyond the end of the engagement. For medical professions and law firms, the statutory professional secrecy clause under Art. 321 of the Swiss Criminal Code applies in addition.

Exit and data handover

At the end of the engagement, the customer receives on request a full export of their data in a common format along with handover documentation for the workflows in operation.

Changes

inscribe may amend these terms. Existing customers are notified of changes in text form at least 30 days before they take effect. In the case of material changes, the customer has an extraordinary right of termination effective on the date the changes take effect.

Governing law and jurisdiction

Swiss law applies exclusively, to the exclusion of the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes is Lucerne, Switzerland, unless mandatory jurisdiction rules provide otherwise.

Severability

Should any provision of these terms be or become invalid or unenforceable, the remaining provisions remain unaffected. The invalid provision is replaced by a valid one that comes closest to its commercial intent.
